AFRINIC consists of a nine-member Board of Directors.<ref>{{cite web|url=https://afrinic.net/en/about/bylaws/2001-afrinic-bylaws-2016?start=12|title=Appointment of Directors as per AFRINIC Bylaws|last=|first=|date=|website=afrinic.net|archive-url=https://web.archive.org/web/20180718013655/https://afrinic.net/en/about/bylaws/2001-afrinic-bylaws-2016?start=12|archive-date=18 July 2018|access-date=|url-status=dead}}</ref> Six of the directors are elected to represent the different sub-regions, while two directors are elected to serve on the Board-based solely on competency as opposed to regional representation. The last seat on the Board is filled by the Chief Executive Officer.

Elections are held at each AFRNIC [[Annual general meeting|Annual General Meeting]] (AGMM), which is conducted around May/June every year. Voting takes place both on-site at these meetings and prior to the meeting via online voting.
